Under the Indian Partnership Act, 1932, a partnership is a relationship between “persons”. An HUF is not considered a “person” or a separate legal entity. It is simply a group of family members.
1. HUF itself cannot become a partner
Since HUF is not a legal person, it cannot enter into any contract. That means it cannot sign a partnership deed or become a partner.
2. Even the Karta cannot join on behalf of HUF
Most people think the Karta (head of the family) can join the firm “representing” the HUF. But that’s also not allowed. The Supreme Court has clearly said that when a Karta becomes a partner, he does so only in his individual capacity. He cannot bind the entire HUF to the partnership’s liabilities.
3. Same rule applies to Trusts
The Maharashtra Registrar of Firms has also clarified that even Trusts cannot become partners in a partnership firm because they too do not have a separate legal personality.
What Should You Do Instead?
If you want to bring HUF money into the business, the correct way is:
- Let the Karta join the partnership in his own name.
- The HUF can give a loan or make an investment in the firm.
- The partnership deed should clearly show only the Karta’s individual name as the partner – not “HUF”.
